Terms of Use for Syn-Waves

Please read these Terms of Use (“Terms”) carefully before using the Syn-Waves mobile application.
These Terms form an agreement between you and SYN-FX LP regarding your use of Syn-Waves. By downloading, accessing, or using Syn-Waves, you agree to these Terms. If you do not agree, do not use the Application.
1. Definitions
For these Terms:
Application means Syn-Waves.
Apple means Apple Inc. and its affiliates.
App Store means the digital distribution service operated by Apple through which the Application is distributed.
Company, we, us, or our means SYN-FX LP, 501 Silverside Road, STE 105-167, Wilmington, DE 19809, United States.
Feedback means suggestions, ideas, comments, or other feedback you provide concerning the Application.
Service means the Application and the functionality made available through it.
Subscription means recurring paid access to Syn-Waves Pro or other paid functionality offered through the Application.
User Content means recordings, imported audio, projects, project notes, metadata, edits, and exported files that you create, import, or manage using Syn-Waves.
You means the individual or legal entity using the Service.
2. Eligibility and Acceptance
You must be at least 13 years old to use Syn-Waves.
If you are under the age of legal majority where you live, your parent or legal guardian must review and agree to these Terms on your behalf and supervise your use of the Service.
You represent that you are legally permitted to enter into these Terms. If you use Syn-Waves for a business or another organization, you represent that you have authority to bind that organization to these Terms.
Your use of the Service is also subject to our Privacy Policy.
3. Relationship With Apple
Syn-Waves is distributed through the App Store. The Application is licensed, not sold.
Your license to download and use the Application is governed by Apple’s Standard Licensed Application End User License Agreement and the applicable Apple Media Services terms.
These Terms supplement Apple’s Standard EULA and govern your relationship with SYN-FX, including your use of Syn-Waves functionality, Subscriptions, User Content, support services, and Feedback.
These Terms are between you and SYN-FX, not Apple. SYN-FX, not Apple, is responsible for the Service and for addressing questions or claims relating to Syn-Waves, except to the extent otherwise provided by Apple’s terms or applicable law.
If these Terms conflict with a mandatory provision of Apple’s Standard EULA, Apple’s applicable provision will control to the extent of that conflict.
4. License and Permitted Use
Subject to these Terms and Apple’s Standard EULA, SYN-FX grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use Syn-Waves on Apple-branded devices that you own or control, as permitted by the App Store usage rules.
You may use Syn-Waves for personal, educational, creative, professional, and commercial audio projects, provided that:
You comply with these Terms and applicable law.
You have all necessary rights and permissions for the material you record, import, edit, export, or share.
Your use does not infringe the rights of SYN-FX or any third party.
You do not misuse, copy, redistribute, or commercially exploit the Application itself.
No rights are granted except those expressly stated in these Terms or Apple’s Standard EULA.
5. User Content
5.1 Ownership
As between you and SYN-FX, you retain ownership of your original User Content.
You may use recordings and exports you create with Syn-Waves for personal or commercial purposes. Syn-Waves does not claim ownership of your recordings, projects, notes, or exported audio.
This does not give you ownership of:
Syn-Waves or its software, interfaces, visual designs, effects, processing technology, or branding.
Copyrighted recordings, compositions, performances, samples, or other material owned by third parties.
Material for which your intended use requires permission from another person or rights holder.
5.2 Your responsibilities
You are solely responsible for your User Content and how you use or share it.
You represent that you have all rights, permissions, releases, and licenses necessary to:
Record any person, performance, or environment contained in your User Content.
Import and edit third-party audio.
Reproduce, distribute, publish, perform, monetize, or otherwise commercially use your exports.
Use names, voices, performances, compositions, recordings, trademarks, or other protected material included in your projects.
Recording and consent laws vary by jurisdiction. You are responsible for determining whether notice or consent is required before recording another person.
5.3 Local storage and sharing
Syn-Waves primarily stores User Content locally on your device. SYN-FX does not routinely receive, host, review, or moderate your locally stored projects.
When you export or share User Content, you choose the recipient, application, file provider, or storage destination. Your use of those external services is subject to their terms and privacy practices.
If you deliberately send User Content to SYN-FX for support, you grant us a limited, non-exclusive license to receive, reproduce, inspect, and process that content solely as reasonably necessary to investigate and respond to your request.
5.4 Prohibited content and conduct
You may not use the Service to create, record, import, export, or share material in a manner that:
Violates applicable law or a court order.
Infringes copyright, trademark, privacy, publicity, contractual, or other rights.
Records another person unlawfully or without legally required consent.
Is fraudulent, defamatory, threatening, harassing, or unlawfully discriminatory.
Contains malware, malicious code, or material intended to compromise a device or service.
Facilitates unauthorized access, fraud, exploitation, or other unlawful activity.
Falsely represents an association with or endorsement by SYN-FX.
Because User Content is normally stored locally, SYN-FX does not proactively monitor it. We may restrict access to the Service or take other appropriate action if we become aware of unlawful use or are legally required to act.
6. Subscriptions
6.1 Syn-Waves Pro
Some features or usage levels may require a paid Syn-Waves Pro Subscription. The Application will identify the features included with a Subscription before purchase.
Available plans may include monthly and yearly auto-renewable Subscriptions. Availability, pricing, features, and eligibility may vary by country, storefront, Application version, or offer.
6.2 Billing and renewal
Subscriptions are purchased and billed through Apple.
The price, billing period, currency, taxes, and other purchase details shown in Apple’s purchase-confirmation interface control over any inconsistent price or promotional message shown elsewhere.
Your Subscription automatically renews unless you disable automatic renewal through your Apple account before the deadline shown by Apple. Apple may charge your payment method within the period disclosed in its purchase terms before the next Subscription period begins.
SYN-FX does not receive or store your complete payment-card or banking details.
6.3 Introductory offers
Eligible users may be offered a discounted, paid introductory yearly Subscription. This is not a free trial.
Eligibility, introductory pricing, offer duration, renewal pricing, and other conditions are determined and displayed by Apple at the time of purchase. Unless canceled, the Subscription will renew at the price and interval shown in Apple’s purchase-confirmation interface.
Introductory offers may be changed, restricted, or withdrawn for future purchases. Changes will not alter a completed Subscription period except as permitted by Apple and applicable law.
6.4 RevenueCat
Syn-Waves uses RevenueCat to obtain product offerings, validate purchase receipts, restore purchases, and determine whether Syn-Waves Pro access is active.
RevenueCat does not directly charge your payment method. Apple remains responsible for App Store billing. RevenueCat’s handling of purchase and Subscription information is described in our Privacy Policy.
6.5 Cancellation
You may cancel automatic renewal through the Subscription settings associated with your Apple account.
Cancellation takes effect at the end of the paid Subscription period unless Apple states otherwise. You will generally retain access to the applicable paid features until that period ends.
Deleting Syn-Waves does not cancel your Subscription.
6.6 Refunds
SYN-FX cannot directly issue App Store refunds or modify charges made through your Apple account.
Refund eligibility and processing are controlled by Apple and applicable law. You may submit a request through Apple’s Report a Problem service or contact Apple Support.
6.7 Price and plan changes
Subscription prices may change. Apple will provide any notice or request any consent required by its policies or applicable law.
A price change ordinarily applies to a future renewal rather than a Subscription period already paid for. If you do not agree to a future price, you may cancel automatic renewal before the new price applies.
We may add, change, or discontinue Subscription plans or paid features for future periods. We will not intentionally remove access already purchased for a current paid period except where required for security, legal compliance, preventing abuse, or circumstances outside our reasonable control.
6.8 Purchase restoration and availability
Syn-Waves provides a mechanism to restore eligible purchases. Restoring a Subscription may require an internet connection and access to the Apple account used for the original purchase.
We do not guarantee that a Subscription can be transferred between different Apple accounts or restored where Apple cannot verify the purchase.
7. Application Updates and Changes
We may provide updates that add, modify, repair, or remove functionality or address security, compatibility, legal, or performance requirements.
Some updates may be necessary for continued compatibility with Apple services, current operating systems, Subscription validation, or supported file formats. We do not guarantee that every version of Syn-Waves will remain supported indefinitely.
You are responsible for maintaining a compatible device and operating system. You should review release information and install important updates when reasonably practical.
We may change, suspend, or discontinue all or part of the Service. Where reasonably possible, we will provide notice of a material discontinuation that affects paid functionality.
8. Storage, Backups, and Data Loss
Syn-Waves stores projects, recordings, notes, waveform information, and exports on your device. You are responsible for maintaining appropriate backups and exporting important work.
Data may be lost or corrupted because of circumstances including:
Device loss, damage, failure, or insufficient storage.
Accidental deletion.
Operating-system or Application errors.
Interrupted recording, saving, importing, or exporting.
Unsupported or damaged source files.
Changes to file-provider or backup services.
Application deletion or device restoration.
Hardware, software, or third-party service failures.
Although Syn-Waves includes measures designed to reduce data loss, we do not guarantee that every project, recording, edit, note, or export can be preserved or recovered.
You should regularly export or back up important projects. You are responsible for verifying exported audio before deleting source material or relying on the export for professional use.
9. Third-Party Services
Syn-Waves may interact with or provide links to services operated by third parties, including Apple, RevenueCat, email applications, file providers, cloud-storage providers, and sharing destinations.
You must comply with any applicable third-party terms when using those services. SYN-FX does not control and is not responsible for:
The availability, security, accuracy, or operation of a third-party service.
Content hosted or provided by third parties.
Changes made by a third-party provider.
Losses caused by your use of or reliance on a third-party service.
A third party’s handling of User Content you choose to send or store there.
Links or interoperability do not imply that SYN-FX endorses or controls the third party.
10. Intellectual Property
Syn-Waves, including its software, source code, object code, interfaces, designs, visualizations, graphics, trademarks, logos, documentation, audio-processing systems, and original content, is owned by or licensed to SYN-FX.
The Service is protected by copyright, trademark, trade-secret, and other intellectual-property laws.
Except as permitted by these Terms, Apple’s usage rules, applicable open-source licenses, or applicable law, you may not:
Copy, distribute, sell, lease, sublicense, or make the Application available to another person.
Reverse engineer, decompile, disassemble, decrypt, or attempt to derive its source code.
Modify the Application or create derivative works from it.
Remove copyright, trademark, or proprietary notices.
Use SYN-FX or Syn-Waves branding in a way that suggests endorsement or affiliation.
Circumvent technical limitations, licensing controls, purchase validation, or access restrictions.
Nothing in these Terms restricts conduct that applicable law expressly permits despite a contractual restriction.
11. Feedback
You may voluntarily provide Feedback about Syn-Waves.
You retain ownership of any original material contained in your Feedback. However, you grant SYN-FX a worldwide, perpetual, irrevocable, non-exclusive, transferable, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute, and otherwise exploit the Feedback for any lawful purpose without compensation or attribution.
Do not submit Feedback containing confidential information that you do not want us to use under this license.
12. Security and Unsupported Devices
You may not attempt to:
Interfere with the normal operation or security of Syn-Waves.
Circumvent Subscription, entitlement, or feature restrictions.
Introduce malware or malicious data.
Access systems, data, or functionality without authorization.
Use automated methods to probe or exploit the Application.
Modified, jailbroken, rooted, or otherwise unsupported devices may compromise security, purchase validation, file integrity, or Application functionality. Use on such devices is at your own risk and may not be supported.
13. Connectivity, Data Charges, and Battery Use
Some features—including purchasing, restoring Subscriptions, retrieving current offerings, opening external links, and sending support messages—may require internet access.
You are responsible for internet access, mobile-data fees, roaming charges, and other charges imposed by your network or service providers.
Recording, audio processing, waveform generation, visualization, playback, and exporting may use significant storage, processing capacity, memory, or battery power. SYN-FX is not responsible for ordinary resource consumption resulting from your use of those features.
14. Privacy
Our Privacy Policy explains how information is processed in connection with Syn-Waves, including local User Content, support communications, Apple purchases, and RevenueCat Subscription records.
By using the Service, you acknowledge that you have had an opportunity to review the Privacy Policy.
15. Suspension and Termination
These Terms remain effective until terminated by you or SYN-FX.
You may terminate them by discontinuing use of Syn-Waves and deleting the Application. Deleting the Application does not cancel an active Subscription.
We may suspend or terminate your right to use the Service if:
You materially or repeatedly breach these Terms.
Your use creates a security, legal, or fraud risk.
Suspension is required by law, Apple, or another competent authority.
The Service is discontinued.
Where reasonably appropriate, we will provide notice and an opportunity to address the issue before termination.
Upon termination, your license to use the Service ends. Provisions that by their nature should survive—including ownership, Feedback rights, disclaimers, liability limitations, and dispute provisions—will remain effective.
Termination does not remove rights or obligations arising before termination and does not limit any non-waivable consumer right. Access to locally stored files after termination may depend on your Device, backups, exported copies, and whether the Application remains available.
16. Disclaimer of Warranties
To the maximum extent permitted by applicable law, Syn-Waves is provided “as is” and “as available,” with all faults and without warranties of any kind.
SYN-FX disclaims express, implied, and statutory warranties, including warranties of merchantability, satisfactory quality, fitness for a particular purpose, accuracy, quiet enjoyment, availability, and non-infringement.
We do not warrant that:
The Service will be uninterrupted, secure, or error-free.
Every file or format will be compatible.
Recordings, edits, processing, visualizations, or exports will meet your requirements.
Subscription information will always be available without delay.
User Content will never be lost or corrupted.
Defects will always be corrected.
Audio processing and playback may differ depending on Device hardware, operating-system behavior, connected equipment, source material, settings, and export format.
Nothing in these Terms excludes a warranty or consumer right that cannot lawfully be excluded.
17. Limitation of Liability
To the maximum extent permitted by applicable law, SYN-FX and its suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business, opportunity, goodwill, data, recordings, projects, or other content arising from or relating to the Service.
To the maximum extent permitted by law, SYN-FX’s total aggregate liability arising from or relating to the Service or these Terms will not exceed the greater of:
The amount you paid for the Service during the 12 months immediately preceding the event giving rise to the claim; or
US $100.
These limitations apply regardless of the legal theory and even if a remedy fails of its essential purpose.
Some jurisdictions do not permit certain warranty exclusions or liability limitations. In those jurisdictions, these provisions apply only to the maximum extent permitted by law. Nothing in these Terms limits liability that cannot lawfully be limited, including liability for fraud, fraudulent misrepresentation, or certain personal injuries.
18. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless SYN-FX and its officers, employees, contractors, licensors, and agents from third-party claims, damages, liabilities, and reasonable expenses arising from:
Your unlawful or unauthorized use of the Service.
Your User Content or your use or distribution of it.
Your infringement of another person’s intellectual-property, privacy, publicity, contractual, or other rights.
Your material breach of these Terms.
This section does not require you to indemnify SYN-FX for its own unlawful conduct or negligence where such indemnification is prohibited by law.
19. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, United States, excluding its conflict-of-law rules.
Before filing a formal claim, you agree to contact us and make a reasonable good-faith effort to resolve the dispute informally.
If you are a consumer, this choice of law does not deprive you of mandatory protections provided by the laws of your usual place of residence. You may also have the right to bring a claim in your local courts where applicable consumer law provides that right.
The United Nations Convention on Contracts for the International Sale of Goods does not apply.
20. Changes to These Terms
We may update these Terms to reflect changes to Syn-Waves, our business, applicable law, Apple requirements, Subscription functionality, or third-party services.
We will post updated Terms at:

We will update the “Last updated” date when changes are published. If a change is material, we will make reasonable efforts to provide advance notice through the Application or another appropriate method.
Changes apply prospectively from their effective date. If you do not agree to revised Terms, you must stop using the Service. Changes will not reduce non-waivable consumer rights or retroactively alter a paid Subscription period except where permitted by law.
21. General Provisions
21.1 Severability
If any provision is found invalid or unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions will continue in effect.
21.2 Waiver
Failure to enforce a provision is not a waiver of the right to enforce it later.
21.3 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms as part of a merger, acquisition, reorganization, sale of assets, or operation of law, subject to applicable consumer protections.
21.4 Entire agreement
These Terms, our Privacy Policy, and Apple’s applicable terms constitute the agreements governing your use of Syn-Waves. They replace prior discussions or representations concerning the same subject matter.

Section headings are provided for convenience and do not affect interpretation.
